These Terms & Conditions ("Terms") form an agreement between you and Ungating Expert ("we," "us," or "our"), governing your access to and use of our website and invoice-preparation services (the "Service"). By creating an account or using the Service, you agree to these Terms.
Eligibility
You must be at least 18 years old and have the legal authority to act on behalf of the business or seller account you represent to use the Service.
Account creation
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.
Subscription terms
Access to invoice generation and related features requires an active paid plan. Plan features, invoice limits, and pricing are described at checkout and on our Plans page, and are governed further by our Payment & Refund Policy.
Payment obligations
You agree to pay all fees associated with your selected plan and any Power-Ups you purchase. Fees are billed in advance on a recurring or one-time basis as applicable, using the payment method on file.
Service limitations
Ungating Expert provides invoice generation tools to help Amazon sellers prepare documentation for brand and category approval requests. We do not guarantee approval by Amazon or any other marketplace. Invoice generation does not constitute a purchase of inventory, and marketplace approval requirements may change without notice. Always verify current marketplace policies before submitting an ungating request.

Common factors that can lead to marketplace rejection
- Invoice date older than 180 days from the date of submission
- Buyer name or address does not match the marketplace seller account exactly
- Missing or incorrect UPC, model number, or product identifiers
- Insufficient quantity per line item (Amazon typically requires 10+ units)
- Supplier contact details (phone, address, website) are incomplete
- Invoice not on official supplier letterhead or missing supplier signature
- Products listed are not from an authorized wholesale distributor
- Invoice appears altered, digitally edited, or created by the applicant
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy, part of our Essential Legal Policies.
Intellectual property
All software, design, branding, and content that make up the Service are owned by Ungating Expert or its licensors. You retain ownership of the business and invoice data you submit, and grant us a limited license to process it solely to provide the Service.
Termination
We may suspend or terminate your account for violation of these Terms, non-payment, or suspected fraudulent or abusive activity. You may cancel your account at any time as described in our Payment & Refund Policy.
Limitation of liability
To the maximum extent permitted by law, Ungating Expert and its affiliates are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost sales, arising from your use of the Service or reliance on invoices it helps you prepare.
Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.
Dispute resolution
Any dispute arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If unresolved, disputes will be handled in the state or federal courts located in Florida, unless otherwise required by applicable law.
